Service Provider Terms of Use

For contractors and businesses purchasing leads on Nabbit Marketplace.

1. Acceptance of These Terms

These Service Provider Terms of Use (the "Terms") are a binding agreement between you and Nabbit Marketplace ("Nabbit," "we," "us"). By creating a Service Provider account, checking the acceptance box at signup, or using the platform, you agree to these Terms. If you use the platform on behalf of a business, you represent that you are authorized to bind that business.

2. Nabbit Is a Marketplace Only

Nabbit operates a technology platform that connects independent lead providers with independent service providers. Nabbit is NOT a party to any transaction, communication, agreement, or dispute between you and any customer, homeowner, or lead provider.

Nabbit does not perform, supervise, guarantee, or take any responsibility for any services you provide to customers. Nabbit does not employ you, refer you, endorse you, or act as your agent, contractor, or partner. You are an independent business acting entirely on your own behalf.

3. Leads Are Information, Not Guarantees

A "lead" is contact information and a description of a potential customer's stated interest, supplied by an independent lead provider. Nabbit does not create leads and cannot and does not guarantee the accuracy, quality, exclusivity, responsiveness, intent, or conversion of any lead.

Purchasing a lead buys access to the lead's information only. It does not guarantee a job, an appointment, a response, or any business outcome. Lead purchases are final except as provided by the dispute process described in Section 7.

4. Your Responsibilities

You are solely responsible for: (a) holding all licenses, registrations, insurance, and permits required to perform your services in every jurisdiction where you operate; (b) the quality, safety, legality, and performance of all services you provide; (c) complying with all laws that apply to your contact with customers, including telemarketing and communication laws such as the Telephone Consumer Protection Act (TCPA) and applicable do-not-call rules; and (d) all agreements, estimates, warranties, and billing between you and customers.

You agree to provide accurate identity information, including your legal name, which must match the bank account used for any payouts or payment methods on file.

5. Platform Communications and Call Recording

Calls to customers made through the platform's call-connection system may be recorded and analyzed for verification, quality, and dispute-resolution purposes. You consent to such recording and are responsible for complying with any notice obligations that apply to you. Customer contact information obtained through the platform may be used solely to pursue the specific service opportunity described in the lead and not for unrelated marketing.

6. Payments, Credits, and Wallets

All payments are processed by Stripe, Inc., a third-party payment processor. Nabbit is not a bank, money transmitter, or custodian of funds. Credit balances shown in your account represent prepaid platform credit usable to purchase leads and, where applicable, refundable to your original payment method under Section 7 and our refund rules.

You authorize charges to your selected payment method for deposits and lead purchases you initiate. Deposits made by bank transfer (ACH) may take several business days to settle, and credits from unsettled deposits may be reversed if the underlying transfer fails or is returned.

7. Disputes About Leads

If you believe a purchased lead was invalid (for example, a disconnected number or a customer who never requested service), your exclusive remedy is the platform's dispute process, which may result in platform credit or a refund at Nabbit's reasonable discretion. Nabbit's total liability for any lead is limited to the amount you paid for that lead.

8. Customer Ratings and Account Standing

Customers may rate their experience with you. You agree that Nabbit may collect and display such ratings, and may suspend or terminate accounts that fall below quality thresholds, receive repeated verified complaints, or violate these Terms. Suspension pauses your ability to purchase leads and receive alerts pending review.

9. Prohibited Conduct

You will not: misrepresent your identity or qualifications; resell or share purchased lead information; contact customers for purposes unrelated to the lead; use automated means to scrape the platform; circumvent platform payments; harass customers or other users; or use the platform in violation of any law.

10. Disclaimer of Warranties

THE PLATFORM AND ALL LEADS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. NABBIT DOES NOT WARRANT THAT ANY LEAD WILL RESULT IN BUSINESS OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NABBIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. NABBIT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO NABBIT IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

NABBIT HAS NO LIABILITY WHATSOEVER FOR ANY ACT, OMISSION, INJURY, LOSS, OR DAMAGE ARISING FROM YOUR SERVICES, YOUR INTERACTIONS WITH CUSTOMERS, OR THE CONDUCT OF ANY LEAD PROVIDER OR CUSTOMER.

12. Indemnification

You will defend, indemnify, and hold harmless Nabbit and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your services; your interactions or agreements with customers; your violation of these Terms or of any law (including telemarketing and licensing laws); or your misuse of lead information.

13. Arbitration and Class Action Waiver

Any dispute arising out of these Terms or the platform will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. YOU AND NABBIT EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. You may opt out of this arbitration provision by written notice within 30 days of first accepting these Terms.

14. Termination

You may close your account at any time. Nabbit may suspend or terminate your account for violation of these Terms, quality thresholds, fraud signals, legal risk, or with reasonable notice for any reason. Sections 2, 3, and 10 through 16 survive termination.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the platform or by email, and continued use after the effective date constitutes acceptance. The version you accepted and the date of acceptance are recorded.

16. Governing Law and General

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. If any provision is held unenforceable, the remainder stays in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and Nabbit regarding the platform.
